All clients are subject to the following terms of service which ensure our responsibility to protect each client and to provide the best services available:
1.1
You agree to use all AEIIA services and facilities at your own risk. AEIIA specifically disclaims all warranties of merchantability and fitness for a particular purpose. In no event shall AEIIA be liable for any loss, or loss of data, or other commercial damage, including but not limited to special, incidental, consequential or other damages.
1.2
Customer agrees that it shall defend, indemnify, save and hold AEIIA harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against AEIIA, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, it's agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless AEIIA against liabilities arising out of Any injury to person or property caused by any products sold or otherwise distributed in connection with AEIIA's server.
1.3
AEIIA reserves the right to intervene with any of the sites hosted on its servers in the interest of its customers. Any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party Copyright infringement any defective products sold to customer from AEIIA's server. AEIIA shall be the sole judge of what violates this Policy.
2.1
At this time we bill monthly, quarterly, semi-annually and annually, depending upon the plan. If you are not satisfied within your first 15 days we would be happy to provide you with a full refund (For some special offers the money-back-guaranteed day will be varied; and Domain Name registration fee is nonrefundable).
2.2
We accept Visa, Master Card & Paypal. Clients are encouraged to pay by credit card as it is the easiest way to handle payment at this time. Their are no contract periods but for each successive period, your contract is automatically renewed unless we are notified otherwise. Your Credit Card statement will read AEIIA Inc.
3.1
There is a strict NO REFUND policy in regards to purchases of DOMAINS, ID PROTECTION SERVICES, SSL CERTIFICATES and COMPLETED CUSTOM CODING. There is however a 15 Day return policy on HOSTING SERVICES only. After 15 Days all hosting services are subject to a NO REFUND policy. Be aware of that prior to purchasing any AEIIA service you must click agree to these Terms of Services (TOS) whether they are completely read, understood or not. In the event that a credit card or paypal charge back is initiated to circumvent these Terms of Services and Refund Policy, a $250 administration fee will be applied to the card on file or the account to recover costs resulting in the fraudulent charge back.
3.2
In order to cancel your services, you must first login to the client area at https://aeiia.com/clientarea.phpAfter logging in click "Products and Services" from the menu and click on the "Details" button for the service that you wish to cancel. You will find the "Cancel Service" button at the bottom right of the page. This is a required step as we log the process to prevent unauthorized individuals or your disgruntled employees from malicously cancelling your services.
4.1
All accounts are billed according to the dates they were first activated on. If you do not pay for a service renew in 5 days after deactivation, your account will be suspended.
4.2
If you do not pay for a service renew 30 days after deactivation, your account will be terminated. You will receive an email reminder daily until deactivation.
5.1
All services provided by AEIIA may be used for lawful purposes only. Transmission, storage, or presentation of any information, data or material in violation of any Canadian law is prohibited. This includes, but is not limited to: copyrighted material, material we judge to be threatening or obscene, or material protected by trade secret and other statute.
5.2
The subscriber agrees to indemnify and hold harmless AEIIA and its employees from any claims resulting from the use of the service which damages the subscriber or any other party.
5.3
Our acceptable use policy is actively and strictly enforced. Offending content or users are suspended from our network, usually as soon as they are discovered, although we will always inform you when and why any action has been taken.
5.4
Pornography is allowed as long as it does not break any local, state, federal, or international law. This includes sites that include sexually explicit or hardcore images and/or advertising.
5.5
Subscriber acknowledges that the service provided is of such a nature that service can be interrupted for many reasons other than the negligence of the company and that damages resulting from any interruption of service are difficult to ascertain. Therefore, subscriber agrees that the company shall not be liable for any damages arising from such causes beyond the direct and exclusive control of the company.
5.6
Subscriber further acknowledges that the company's liability for its own negligence may not in any event exceed an amount equivalent to charges payable by subscriber for services during the period damages occurred. In no event shall the company be liable for any special or consequential damages, loss or injury.
5.7
Illegality In any form, including but not limited to the unauthorized distribution or copying of copyrighted software or other data, harassment, fraud, trafficking in obscene material, is not permitted on our network.
5.8
Content relating to Hacking, Cracking, Warez and IRC is not allowed. Software, audio and video downloads may only be hosted if you are the writer and copyright owner of the resources or you have a right to distribute the materials. Accounts suspended due to content or AUP violation are not refunded under any circumstances.
5.9
Mass Mailings: AEIIA has a zero tolerance policy on SPAM, Junk E-mail or UCE. Spam, Junk-mail and UCE are defined as: the sending of the same, or substantially similar, unsolicited electronic mail message, whether commercial or not, to more than one recipient. A message is considered unsolicited if it is posted in violation of a newsgroup charter or if it is sent to a recipient who has not requested or invited the message. UCE also includes e-mail with forged headers, compromised mail server relays, and false contact information.
This prohibition extends to the sending of unsolicited mass mailings from another service, which in any way implicates the use of the AEIIA servers and/or network. Violation of the above terms will result in one or all of the following: A warning from AEIIA personnel by E-Mail or Telephone. Removal of DNS for the advertised/originating site Temporary shutdown of the website/server or a block on outgoing mail Permanent disconnection of service WITHOUT REFUND. Repeat violation of the above terms will result in the following actions: Immediate disconnection of service with no re-activation A $2000.00 CAD fee assessed and charged to your account for violation. Absolutely NO REFUNDS for ANY REASON AT ALL. Additional $50 CAD fee charged to your account per E-Mail sent after notification. If your actions have caused AEIIA servers or IP Addresses to be placed on ANY blackhole lists and other mail filtering software systems used by ISP's and Web Hosting companies around the world, you will be assessed a $1000 CAD charge to your account and $250 CAD per hour for administrative charges incurred to remove and protect our servers and/or IP Addresses. If you have further questions about our mass mailing policy, please send them to AEIIA support.

5.10
Mailing Lists: Our mass mailing rules also apply to mailing lists, list servs, or mailing services you may contract with. Our policy is the following: An acceptable mailing list will be focused at a target audience that has voluntarily signed up for your e-mail information or that has made their e-mail address available for distribution of information from you. Your own list servs in which customers have signed up for in the past, is a valid mailing list. If one of your members asks to be removed, please remove them as soon as feasibly possible. Internally created mailing lists are valid as long as your customers agree to receive the e-mail. Purchased mailing lists are generally a violation of the rules because you have not received authority from the recipient to send them an e-mail. The final rule to all mailing lists is simple: if your customers begin to send spam complaints to AEIIA about your e-mail, you will be bound to the terms of mass mailings listed above. 6.1
AEIIA makes automatic incremental account backups multiple times per day. Currently the rention period for files is 60 days and includes weekly and monthly backups. Please see JetBackup in cpanel.
7.1
During the term of the hosting contract, AEIIA grants Customer a non-transferable, non-exclusive license to use the Software, in object code form only, for its internal needs, to be used solely on the Hardware provided, and solely in conjunction with the Services. Customer agrees that it will not, directly or indirectly copy the Software, except as is necessary to install on Hardware and for internal, archival purposes. In the event Customer makes any copies of the Software, Customer shall reproduce all proprietary notices on such copies; reverse engineer, decompile, disassemble, modify or otherwise attempt to derive source code from the Software; sell, lease, license, transfer, give possession of, or sublicense the Software or the documentation to others; write or develop any derivative or other software programs, based, in whole or in part, upon the Software or any Confidential Information. The location of third party software found in your home directory that violates Copyright law is prohibited. AEIIA will work with the appropriate authorities in locating and removing any and all software that is deemed to be used in violation of a valid software license. Please do not locate, use, install, execute, or store software that you do not own a valid software license to, on AEIIA servers. Violators will be terminated immediately and referred to law enforcement authorities.
8.1
AEIIA may assign and allow the use of IP addresses to the customer for the length of the contract. These IP addresses are the sole property of AEIIA or its network provider, are non-portable, and will be retained after service has ceased. AEIIA does reserve the right to change the customer IP address designation at any time. The use of an IP Address outside of your assignment by AEIIA will result in a $250 per hour administrative fee to restore correct IP addressing. This is also viewed as a breach of network security and your account will be taken offline until the problem is resolved. Administrative fees will be billed to your account the following business day.
9.1
This Agreement shall be governed and interpreted according to Canadian Law. For all disputes arising out of or related to this Agreement or Service Orders, the parties irrevocably consent to the exclusive jurisdiction of the Courts of the Province of Ontario. Customer's address for purposes of service of process shall be the address designated for notices in this Agreement. In connection with all actions in which AEIIA is awarded amounts due from Customer, AEIIA shall be awarded (either in that action or by way of a separate action) its costs and expenses of litigation (including reasonable attorneys' fees), through trial and appeal. AEIIA may at its sole discretion seek leave to conduct any legal process as described herein in any jurisdiction of any country where a customer or defendant cannot otherwise be brought to order under the laws of the Canada.
10.1
AEIIA shall not be responsible for any claimed damages, including incidental and consequential damages, which may arise from our servers going off-line or being unavailable for any reason whatsoever.
10.2
Furthermore, AEIIA shall not be responsible for any claimed damages, including incidental or consequential damages, resulting from the corruption or deletion of any web site from any of our servers. All damages shall be limited to the immediate termination of service.
11.1
AEIIA cannot be held liable for system downtime, crashes, or data loss. We cannot be held liable for any predicted estimate of profits in which a client would have gained if their site was functioning.
11.2
Certain services provided by AEIIA are resold. Thus, certain equipment, routing, software, and programming used by AEIIA are not directly owned or written by AEIIA. Moreover, AEIIA holds no responsibility for the use of our clients accounts.
11.3
If any terms or conditions are failed to be followed, the account in question will be automatically deactivated.
11.4
We reserve the right to remove any account without advanced notice for any reason without restitution as AEIIA sees fit.
11.5
AEIIA retains the right to change any or all of the above Policies, Guidelines, and Disclaimer without notification.
